Master services agreement (template)

1. Scope

Each engagement is governed by a separate statement of work referencing this MSA, detailing deliverables, timeline, and fees.

2. IP ownership

Upon final payment, the client receives full ownership of project-specific deliverables. Da Vinci Technologies retains rights to reusable tooling, libraries, and frameworks developed independently.

3. Confidentiality

Both parties agree to protect confidential information shared during the engagement and to use it solely for the purpose of fulfilling the SOW.

4. Termination

Either party may terminate an active SOW with 30 days written notice. Fees for work completed through termination remain due.
